Plain-spoken terms for using ReplyMagic. By using the service, you agree to these account, billing, and acceptable-use rules.
These Terms of Service ("Terms") govern your use of ReplyMagic, operated by ZipLyne ("ZipLyne", "we", "us"), with a registered address at 30 N Gould St Ste N, Sheridan, WY 82801, United States. By creating an account or using the service, you agree to these Terms.
1. Acceptance
If you are using ReplyMagic on behalf of a company, you represent that you have authority to bind it. If you do not agree to these Terms, do not use the service.
2. Account and eligibility
You must be at least 16 years old. You are responsible for keeping your credentials secure and for all activity under your account. You must comply with Meta's Platform Terms and Instagram's Community Guidelines when connecting your Instagram account.
3. Your content
You retain all rights to the content and context you upload — product descriptions, voice samples, FAQs, replies, and so on. You grant us a limited license to process that content solely to operate the service for you. We do not use your content to train third-party models.
4. Our service
ReplyMagic generates and delivers replies to comments and DMs on the Instagram accounts you connect, using the official Meta Graph API. We strive for accurate, on-voice replies, but generated content can be wrong. You are responsible for the replies sent from your account. You can disable auto-reply, switch to review mode, or delete generated content at any time.
5. Fees and billing
Paid plans are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable. You can cancel any time from the billing page; cancellation stops the next renewal and the current period stays active until its end date. We may change pricing with at least 30 days' notice for existing subscribers.
6. Intellectual property
The service, including its software, design, and trademarks, is owned by ZipLyne. Nothing in these Terms transfers any IP to you beyond the right to use the service while your subscription is active.
7. Prohibited use
- No illegal content, harassment, or hate speech.
- No spam, scams, deceptive practices, or impersonation.
- No reverse-engineering, scraping our service, or circumventing rate limits or paywalls.
- No use that violates Meta's terms or causes Meta to suspend or restrict our platform access.
- No automated bulk reply behavior outside the intended product use case.
8. Termination
You can cancel any time from your billing page. We can suspend or terminate your account if you breach these Terms, fail to pay, or use the service in a way that puts our platform access at risk. Upon termination, we delete your data per our Privacy Policy.
9. Disclaimers
The service is provided "as is" and "as available". We disclaim all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that generated replies will always be accurate.
10. Limitation of liability
To the maximum extent permitted by law, ZipLyne's total liability for any claim arising from the service is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
11. Indemnity
You agree to indemnify and hold ZipLyne harmless from claims arising out of your content, your use of the service, or your breach of these Terms.
12. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Wyoming, except where mandatory consumer law provides otherwise.
13. Changes
We may update these Terms. Material changes will be announced by email and on this page at least 14 days before they take effect. Continuing to use the service after changes take effect means you accept them.
